1. Introduction

Welcome to Panoptic Analytics Pvt. Ltd. (“Panoptic”, “we”, “our”, “us”).
These Terms & Conditions (“Terms”) govern your access to and use of our website, dashboards, tools, software, and services.

 

By using our website or services, you agree to these Terms. If you do not agree, please discontinue use immediately.

2. Who We Are

Panoptic Analytics Pvt. Ltd. provides technology, GTM, and data-driven services, including:

  • GTM engineering
  • Lead generation
  • CRM setup & management
  • Web/app development
  • AI integrations & automations
  • Virtual assistant services
  • Data enrichment & list building
  • AI training data preparation
  • Custom tools and agent development

Our services are primarily B2B and often involve custom scopes of work.

3. Eligibility

To use our website or create an account, you must:

  • Be 18 years of age or older
  • Have the authority to enter into a binding agreement (if using on behalf of a business)
4. Account Creation & Responsibilities

If you create an account on any Panoptic platform, you agree to:

    • Keep your login credentials confidential
    • Notify us immediately of unauthorized access
    • Provide accurate and up-to-date information

Panoptic is not liable for any loss caused by your failure to maintain account security.  We reserve the right to suspend or terminate accounts that violate these Terms.

5. Services & Engagement

When you engage Panoptic for any paid service:

  • A project scope, timeline, and deliverables may be defined in writing (proposal, email, SLA, or invoice).
  • Work begins once payment terms are met or mutually agreed.
  • Some services may require you to provide access to CRM systems, LinkedIn accounts, APIs, or data files.

You agree that:

  • You have the rights/permissions to share the data you provide.
  • You will not share illegal, harmful, or unauthorized content.
  • We may use subcontractors or partners (under NDA) to assist in delivering your project.
6. Payment Terms

Panoptic accepts payments via:

  • Razorpay
  • PayPal
  • Bank Transfer

All service fees are due as per the agreed payment schedule.

No Refund Policy

Because our services involve custom work, skilled labor, and time investment, all payments are non-refundable unless explicitly stated otherwise in writing.

7. Intellectual Property
  1. Our Content

All content on our website, dashboards, code, algorithms, workflows, and service materials are the intellectual property of Panoptic Analytics Pvt. Ltd.

 

You may not:

  • Copy
  • Modify
  • Reverse engineer
  • Redistribute
  • Use for competing services

without our written permission.

You retain all ownership of:

  • Data you upload
  • CRM exports
  • Lead lists
  • Documents or assets shared during the project

Panoptic only uses your data for service delivery and internal quality assurance.

8. Use of Data for Tools & AI Systems

Some projects may involve:

  • AI model training
  • Automation workflows
  • CRM integrations
  • Data pipelines
  • Custom agents

Panoptic will not use your proprietary data for training public AI models.

All data usage remains within the scope of your project and our Privacy Policy.

9. Acceptable Use

You agree not to:

  • Use our services for spam, illegal scraping, fraud, or harmful activities
  • Attempt to bypass access controls
  • Upload viruses, malware, or harmful code
  • Use Panoptic tools for harassment, discrimination, or unethical outreach

Violation may result in account suspension and legal action.

10. Confidentiality

Both parties agree to keep each other’s information confidential, including:

  • Business data
  • Customer lists
  • Pricing
  • Internal processes
  • Strategies
  • CRM exports
  • Any non-public information

Confidentiality survives termination of engagement.

11. Third-Party Services

Our services may integrate with platforms like:

  • LinkedIn
  • HubSpot
  • Salesforce
  • Google Sheets
  • APIs, CRMs, or automation tools

These platforms have their own terms, and you agree to comply with them when providing access.

Panoptic is not responsible for:

  • Outages
  • Changes in third-party APIs
  • Policy changes
  • Restrictions imposed by third-party services
12. Service Modifications

We may update service features, pricing, or terms. Significant changes will be communicated on our website or directly to affected users.

13. Disclaimer of Warranties

We work hard to deliver accurate, high-quality services.
However, we do not guarantee:

  • A specific financial outcome
  • Guaranteed lead conversions
  • That software will be error-free or uninterrupted

All services are provided on a “best effort” basis.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Panoptic is not liable for indirect, incidental, or consequential damages.
  • Our total liability for any claim is limited to the amount you paid for the service related to that claim.

This includes (but is not limited to):

  • Lost profits
  • Lost business opportunities
  • Data loss
  • Downtime or delays
  • Third-party platform issues
15. Indemnification

You agree to indemnify and hold Panoptic harmless against claims arising from:

  • Misuse of our services
  • Sharing unauthorized data
  • Violations of third-party terms (e.g., LinkedIn, CRM tools)
  • Illegal or unethical activities
  • Breach of these Terms
16. Termination

We may suspend or terminate your account or services if:

  • You violate these Terms
  • You misuse our systems or data
  • You engage in fraudulent or harmful activity
  • You fail to pay invoices

You may terminate the relationship at any time, but payments already made remain non-refundable.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India.  Any disputes shall be resolved exclusively in the courts of Rajasthan, India.

18. Updates to These Terms

We may update these Terms periodically.  The latest version will always be available on our website with the “Last Updated” date.

Continued use of our services signifies acceptance of updated terms.
